Significant shareholdings and stake in own shares: shareholder structure

abertis shares are represented by entries on account, with the Sociedad de Gestión de los Sistemas de Registro, Compensación y Liquidación de Valores, S.A. (IBERCLEAR, Spain's clearing and settlement organisation) and its participating entities being responsible for maintaining the associated accounting records.

The company cannot keep a share register, as the shares are bearer shares. It does not therefore have exact knowledge of its shareholder structure beyond the structure revealed by the X-25 file that the company can seek from IBERCLEAR solely on the occasion of the holding of its Shareholders' General Meeting, the information provided by the shareholders themselves in their annual reports and the information made available on the official web site of the Spanish Stock Exchange Commission (CNMV) in its Significant Events and/or "Significant shareholdings and stakes in own shares" section(1).

According to information published in the CNMV, the Spanish National Stock Exchange Commission (3), the significant shareholdings at 17 April 2008 were:

  • Criteria CaixaCorp (2): 28.91%
  • ACS: 25.83%
  • Sitreba: 5.50%
  • Free-float: 39.76%

(1) This register complies with Royal Decree 1362/2007, of 15 March, on notification of significant shareholdings in listed companies and the acquisition thereby of own shares.

(2) Criteria CaxiaCorp, S.A. is a company controlled by the entity Caja de Ahorros y Pensiones de Barcelona, "la Caixa" (tax no. G-58899998). Criteria has an indirect 7.75% stake in abertis via Inversiones Autopistas, S.L. and a 0,50% one via Vidacaixa, S.A. de Seguros y Reaseguros
