abertis shares are represented by entries on account, with the Sociedad de Gestión de los Sistemas de Registro, Compensación y Liquidación de Valores, S.A. (IBERCLEAR) and its participating entities being responsible for maintaining the associated accounting records.

The description of the abertis shareholder structure is extracted from the information that is available in the "Significant shareholdings and stakes in own shares" (1) and in the “Significant Events” on the official web site of the Spanish Stock Exchange Commission (CNMV) updated with the information provided by the shareholders themselves to their shareholders or to abertis at the time of the publication of their Annual Report.

According to this information, the significant shareholdings are:

• OHL: 18.9% ⁽³⁾
• Trebol Holdings: 15.6% ⁽⁴⁾
• Own shares: 0.8%
• Free-float: 41.6%

⁽¹⁾ This register complies with Royal Decree 1362/2007, of 19th October 2007, implementing Law 24/1988 on the Securities Market, concerning the transparency requirements relating to information on issuers whose securities are accepted for trading on a secondary official market or other regulated market in the European Union (The “Royal Decree 1362/2007”).

According to the article 23.2 of Royal Decree 1362/2007, these voting rights have been calculated on the total of the representative shares of the abertis share capital, without considering that the exercise of the rights belonging to abertis treasury shares is cancelled.

⁽²⁾ Caja de Ahorros y Pensiones de Barcelona "la Caixa" manages Criteria CaixaHolding, S.A., which has a stake of 15.366% of the voting rights in abertis. Criteria CaixaHolding, S.A manages Inversiones Autopistas, S.L, which has a stake of 7.753% of the voting rights in abertis. La Caixa manages Caixabank, S.A and this last manages to Vidacaixa, S.A. de Seguros y Reaseguros which have a 0.000% of the voting rights of abertis.

⁽³⁾ Obrascón Huarte Laín, S.A (“OHL”) announced through a Significant event communication on 4 December 2012 that held a 5% of abertis’ share capital and now holds a 14.995%. On 22 March announced through a Significant event the acquisition  to Criteria Caixaholding, SAU of 24,443,675 shares representing 3.0% of abertis’ share capital. After this last purchase and alongside other smaller communicated to the CNMV the previous weeks, the OHL Group reached a total stake of 18.93% in abertis.
